Zero Alpha — Terms of Use

1. About these Terms

Zero is an AI agent developed by Blade Labs Holdings Private Limited ("Blade Labs", "we", "us"). It helps users complete tasks, access information, interact with websites and connected services, and remember information across interactions.

These Terms of Use ("Terms") govern your access to and use of Zero during its early-access (alpha) release.

By accepting these Terms, you enter into an agreement with Blade Labs. Please also read our Zero Alpha Privacy Notice, which explains how we handle personal information.

These Terms apply specifically to Zero and take precedence over our general website terms where they address the same subject differently.

2. Eligibility and accounts

You must be of legal age or otherwise legally capable of entering into a binding agreement to use Zero.

You agree to provide accurate account information and maintain the confidentiality of your login credentials.

You are responsible for activities you direct or authorize through your account. If you use Zero on behalf of an organization, you must have the authority to do so.

Please notify us promptly if you suspect unauthorized access to your account.

3. About the alpha service

Zero is an experimental AI service made available for early testing and feedback.

During the alpha:

• Certain features may be incomplete, unavailable or subject to change.
• You may encounter errors, interruptions or unexpected behavior.
• Some security and privacy capabilities are still being developed.
• We may update, restrict or discontinue features as the product evolves.

We aim to provide a reliable service but do not guarantee uninterrupted availability or error-free operation.

4. AI-generated content and agent actions

Zero uses artificial intelligence to generate responses and carry out tasks based on your instructions.

AI-generated information may be inaccurate, incomplete or outdated. You should independently review important information before relying on it, particularly for legal, financial, medical or other consequential decisions. Zero does not replace qualified professional advice.

Zero may access websites, interact with connected services, prepare content and perform actions within the permissions available to it.

You are responsible for providing appropriate instructions, granting authorized access and reviewing consequential actions. Some actions, such as sending communications, modifying records or completing transactions, may be difficult to reverse.

Where Zero supports payment transactions, each payment requires separate authorization. Connecting an account or payment method does not constitute advance approval for future payments.

5. Acceptable use

You agree to use Zero lawfully and responsibly.

You must not:

• Use Zero for unlawful, fraudulent or deceptive activities.
• Access systems, accounts or information without authorization.
• Submit information that you do not have the right to share or process.
• Infringe intellectual property, privacy or other rights of third parties.
• Interfere with the security, integrity or availability of Zero or connected systems.
• Circumvent applicable security controls, access restrictions or usage limits.
• Reverse-engineer, copy or misuse proprietary parts of Zero, except where permitted by applicable law or an applicable software licence.

We may restrict activities or suspend accounts where reasonably necessary to prevent misuse, protect users or maintain service security.

6. Your content, intellectual property and privacy

You retain ownership of the information, files and other content you provide to Zero.

You grant Blade Labs a non-exclusive, royalty-free licence to host, process, reproduce and transmit that content only as reasonably necessary to provide, maintain and secure the service, carry out your instructions and comply with applicable legal obligations.

As between you and Blade Labs, you may use the AI-generated outputs produced for you, subject to applicable law and third-party rights. Outputs may not be unique, and other users may receive similar results.

Zero's software, branding, technology and other proprietary materials belong to Blade Labs or its licensors. These Terms do not transfer ownership of those materials to you.

Privacy during the alpha

During the alpha, Blade Labs' control-plane infrastructure can technically access conversations, browser inputs and screenshots.

Zero uses personal-information masking for certain AI model interactions, but masking does not apply to every processing path.

Atlas memory is hosted in Blade-controlled infrastructure and stores real user information. Memory ingestion may send unmasked content to a hosted AI model. External AI applications authorized to connect directly to Atlas may also receive unmasked information.

Blade Labs manages the relevant encryption keys during the alpha. User-held encryption keys and the blind relay are not currently available.

7. Connected and third-party services

Zero may interact with external websites, applications and services that you choose to connect or authorize.

You are responsible for ensuring that you have the necessary rights and permissions to access and use those services.

Third-party services operate under their own terms, privacy policies and access controls. Blade Labs does not control their independent operations, content or availability.

Transactions conducted with third-party services may also be subject to separate agreements between you and the relevant provider.

You may revoke connected-service permissions through the available Zero or third-party provider controls.

8. Free usage, credits and payments

Zero may provide a complimentary usage allowance during the alpha. The applicable allowance and available balance will be displayed through the service.

Free allowances may be subject to usage limits and may change as the alpha develops. AI usage may pause or stop when the available allowance is exhausted.

Optional paid credits or additional services may become available. Applicable pricing, payment conditions and charges will be presented before a purchase is authorized.

Accepting these Terms does not authorize automatic purchases or recurring charges.

Any applicable cancellation, refund or payment rights remain subject to mandatory consumer protection laws and the terms presented for the particular purchase.

9. Account closure and termination

You may stop using Zero at any time.

During the alpha, the self-service account-closure process requires you to export your available Atlas data through an available download or supported external sync before confirming closure.

Once closure is confirmed, account access is revoked immediately, and the deletion process is designed to remove active hosted account data within 24 hours, subject to applicable retention requirements and technical deletion arrangements.

You may separately exercise any statutory rights to request deletion of personal information without completing the self-service export process.

We may suspend or terminate your access where reasonably necessary to address unlawful conduct, serious misuse, security threats or material violations of these Terms.

Where appropriate, we will provide notice and an opportunity to contact us regarding the decision.

Upon termination, your right to use Zero ends. Provisions concerning intellectual property, liability, dispute resolution and other matters that reasonably need to survive termination will continue to apply.

10. Service disclaimers and limitation of liability

Zero is provided on an experimental, "as is" and "as available" basis.

To the extent permitted by applicable law, Blade Labs makes no warranty that Zero will operate without interruption, produce accurate results or meet every user's requirements.

To the extent permitted by law, Blade Labs is not liable for indirect, incidental or consequential losses arising from your use of Zero.

Blade Labs' total aggregate liability for claims arising from these Terms or the service will not exceed the greater of:

• The amount you paid Blade Labs for Zero during the 12 months preceding the event giving rise to the claim; or
• USD 100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or restricts mandatory consumer rights and remedies.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify Blade Labs against reasonable third-party claims, losses and expenses arising directly from your unlawful use of Zero, infringement of third-party rights or material breach of these Terms.

This obligation does not apply to the extent a claim results from Blade Labs' own acts, omissions or breach of applicable law.

12. Changes to these Terms

We may update these Terms to reflect changes in Zero's functionality, operating arrangements or applicable legal requirements.

The current version will be available through Zero. Where changes materially affect your rights or obligations, we will provide appropriate notice.

You may be required to review and expressly accept updated Terms before continuing to use Zero.

If you do not agree to the updated Terms, you may discontinue use and exercise your available account and data rights.

13. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles.

If a dispute arises relating to these Terms or your use of Zero, you and Blade Labs agree to first attempt to resolve it in good faith by contacting each other.

If the dispute cannot be resolved, it shall, to the extent permitted by applicable law, be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its applicable arbitration rules.

The seat of arbitration shall be Singapore, the proceedings shall be conducted in English, and the tribunal shall consist of one arbitrator.

Nothing in this section limits mandatory consumer protections or any right to seek relief before a competent court where applicable law does not permit that right to be excluded.

14. General provisions

These Terms, together with any additional terms expressly accepted for a particular service or purchase, constitute the agreement between you and Blade Labs concerning your use of Zero.

If any provision is found invalid or unenforceable, the remaining provisions will continue to apply.

Failure by Blade Labs to enforce a provision does not constitute a waiver of its rights.

Nothing in these Terms limits rights or protections that cannot lawfully be excluded.
