2.1 ZeroH Agentic GRC Automation

ZeroH provides agentic GRC automation solutions, including AI-powered compliance workflows and blockchain-verified audit trails.

No Legal Advice: While ZeroH aims to assist with compliance automation, Blade Labs does not provide individualized legal, financial, or regulatory advice. You are responsible for determining whether these services meet your personal, commercial, or regulatory requirements.

3. User Obligations and Conduct

• Compliance with Laws: You agree to use the Services in compliance with all applicable local, state, national, and international laws, regulations, and rules.
• Prohibited Activities: You must not:
  • Use the Services for fraudulent or unlawful purposes.
  • Modify, reverse-engineer, disassemble, decompile, or attempt to derive source code from Blade Labs software unless expressly permitted.
  • Interfere with or disrupt the security, integrity, or performance of the Services.
  • Use bots, scrapers, or other automated means to access or use the Services in a manner that could degrade or compromise our infrastructure.
• Account Security: You are responsible for all activities under your account credentials. Notify us immediately of any suspected unauthorized access.

4. Intellectual Property

• Blade Labs IP: All materials, code, content, and trademarks ("Blade Labs IP") used or displayed on the Services are the property of Blade Labs or our licensors. Except as expressly stated, no license or right to use Blade Labs IP is granted or implied.
• User-Generated Content: If you create or upload any content to our Services, or otherwise submit content to Blade Labs, you represent and warrant that you have all necessary rights to do so. You grant Blade Labs a non-exclusive, royalty-free, worldwide license to use, display, reproduce, or distribute such content solely to provide the Services.

• No Legal Advice: Blade Labs does not provide legal, tax, or investment advice. Any features are provided "as is" and do not constitute a recommendation.
• No Warranty: To the fullest extent permissible under applicable law, the Services are provided "AS IS" and "AS AVAILABLE," without any representations or warranties, expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

7. Limitation of Liability

• Indirect Damages: In no event will Blade Labs, its directors, employees, or affiliates be liable to you for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms or your use of the Services.
• Aggregate Liability: To the extent permitted by law, Blade Labs' total aggregate liability to you for any claims arising out of or in connection with these Terms or the Services shall not exceed the greater of (a) the amounts paid by you to Blade Labs in the 12 months preceding the event giving rise to liability (if any), or (b) $100 USD.

8. Governing Law and Dispute Resolution

• Governing Law: These Terms and any disputes hereunder will be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
• Arbitration: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be settled by binding arbitration, on an individual basis, in accordance with the rules of a recognized arbitration institution in Singapore.

9. Termination

• Right to Terminate: Blade Labs may suspend or terminate your access to the Services at any time, for any reason, including violations of these Terms or suspected illegal or unethical activity.
• Effect of Termination: Upon termination, you must cease all use of the Services. Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification shall survive any termination of these Terms.
