These Terms of Use (“Terms”) govern your use of the websites, software, services, and products (collectively, the “Services”) provided by Blade Labs Holdings Pte. Ltd. (together with Blade Labs Inc., Blade Foundation Ltd., ZeroH, and their affiliates or subsidiaries, collectively referred to as “Blade,” “we,” “us,” or “our”). By accessing or using any Services offered by Blade—including, but not limited to, our websites at • https://www.bladelabs.iohttps://www.bladefoundation.iohttps://www.bladegroup.iohttps://www.bladewallet.iohttps://www.zeroh.io (and any affiliated subdomains or mobile applications)—you agree to be bound by these Terms, as well as any additional guidelines, policies, or rules referenced herein (e.g., our Privacy Policy).
If you do not agree with any portion of these Terms, you must immediately discontinue use of our Services.
  1. Eligibility and Acceptance of Terms
  1. Legal Capacity: You represent and warrant that you are at least the age of majority in your jurisdiction or otherwise legally capable of entering into binding contracts.
  1. Scope: These Terms apply to all visitors, users, and others who access the Services (“Users” or “you”). If you are using the Services on behalf of any entity, you represent and warrant that you are authorized to bind that entity to these Terms.
  1. Modifications: We may modify these Terms at our discretion. If we make changes, we will update the “Last Updated” date above and, where required by law or at our discretion, provide additional notice (e.g., by email). Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.
  1. Description of Services
2.1 Blade Wallet • Non-Custodial: The Blade Wallet is a non-custodial, self-sovereign Web3 wallet that allows you to manage digital assets on supported blockchain networks. • User Responsibility: You retain full responsibility for maintaining the confidentiality of any private keys or recovery phrases associated with your wallet. Blade does not control or have access to your keys, and we are not liable for lost passwords, compromised wallets, or unauthorized transactions.
2.2 Console (Formerly Launchpad) • A suite of tools for creating and distributing digital assets—such as NFTs, fungible tokens, loyalty programs, and multi-signature wallets. • User-Generated Content: If you mint or distribute tokens, you are solely responsible for the legality and compliance of any digital assets under applicable laws.
2.3 ZeroH • Shariah-Compliant Embedded Finance: ZeroH provides Islamic finance solutions—such as zero-interest financing and on-chain transaction verification—under the broader Blade family of services. • No Financial Advice: While ZeroH aims to follow Islamic finance principles, Blade does not provide individualized legal, financial, or religious advice. You are responsible for determining whether these services meet your personal, commercial, or regulatory requirements.
  1. User Obligations and Conduct
  1. Compliance with Laws: You agree to use the Services in compliance with all applicable local, state, national, and international laws, regulations, and rules.
  1. Prohibited Activities: You must not: • Use the Services for fraudulent or unlawful purposes. • Modify, reverse-engineer, disassemble, decompile, or attempt to derive source code from Blade software unless expressly permitted. • Interfere with or disrupt the security, integrity, or performance of the Services. • Use bots, scrapers, or other automated means to access or use the Services in a manner that could degrade or compromise our infrastructure.
  1. Account Security: You are responsible for all activities under your account credentials or cryptographic keys. Notify us immediately of any suspected unauthorized access.
  1. Intellectual Property
  1. Blade IP: All materials, code, content, and trademarks (“Blade IP”) used or displayed on the Services are the property of Blade or our licensors. Except as expressly stated, no license or right to use Blade IP is granted or implied.
  1. User-Generated Content: If you create or upload any content via the Console, or otherwise submit content to Blade, you represent and warrant that you have all necessary rights to do so. You grant Blade a non-exclusive, royalty-free, worldwide license to use, display, reproduce, or distribute such content solely to provide the Services.
  1. Third-Party Services and Links
  1. External Links: The Services may contain links to third-party websites, decentralized applications (“DApps”), or services (e.g., payment processors, NFT marketplaces). We do not endorse or control these external sites and are not responsible for their content or policies.
  1. Transactions: Any transactions you conduct with third parties, including ZeroH financing arrangements or token trades facilitated by external providers, are solely between you and that third party. Blade is not liable for any loss or dispute arising out of such transactions.
  1. Disclaimers
  1. No Financial Advice: Blade does not provide financial, tax, legal, or investment advice. Any blockchain-related or ZeroH features are provided “as is” and do not constitute a recommendation to buy, sell, or hold any asset.
  1. No Custody of Assets: Blade does not hold or control any digital assets on your behalf. You are solely responsible for safeguarding cryptographic keys, initiating transactions, and verifying on-chain activity.
  1. No Warranty: To the fullest extent permissible under applicable law, the Services are provided “AS IS” and “AS AVAILABLE,” without any representations or warranties, expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
  1. ZeroH Compliance: While ZeroH seeks to adhere to Shariah finance principles and relevant regional regulations, Blade makes no warranty regarding the completeness, accuracy, or ongoing validity of any religious, legal, or regulatory certifications. Users should conduct their own due diligence.
  1. Limitation of Liability
  1. Indirect Damages: In no event will Blade, its directors, employees, or affiliates be liable to you for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms or your use of the Services.
  1. Aggregate Liability: To the extent permitted by law, Blade’s total aggregate liability to you for any claims arising out of or in connection with these Terms or the Services shall not exceed the greater of (a) the amounts paid by you to Blade in the 12 months preceding the event giving rise to liability (if any), or (b) $100 USD.
  1. Assumption of Risk: You acknowledge the inherent risks of blockchain technology, including potential loss of digital assets, volatility, software bugs, or regulatory actions. Blade shall not be held responsible for any losses or damages resulting from your use of or inability to use the Services.
  1. Indemnification
You agree to defend, indemnify, and hold harmless Blade, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms, your use of the Services, or your violation of any law or regulation.
  1. Governing Law and Dispute Resolution
  1. Governing Law: These Terms and any disputes hereunder will be governed by and construed in accordance with the laws of the jurisdiction in which Blade Labs Holdings Pte. Ltd. is established, without regard to conflict of law principles.
  1. Arbitration: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be settled by binding arbitration, on an individual basis, in accordance with the rules of a recognized arbitration institution in Blade’s jurisdiction.
  1. Class Action Waiver: You and Blade agree to resolve any disputes on an individual basis. Neither you nor Blade may bring a claim as a plaintiff or class member in a purported class or representative proceeding.

  1. Right to Terminate: Blade may suspend or terminate your access to the Services at any time, for any reason, including violations of these Terms or suspected illegal or unethical activity.
  1. Effect of Termination: Upon termination, you must cease all use of the Services. Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification shall survive any termination of these Terms.
  1. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference. Please review our Privacy Policy to understand how we collect, use, and share your personal data.
  1. Additional Terms
  1. Entire Agreement: These Terms, along with any referenced policies (e.g., the Privacy Policy), constitute the entire agreement between you and Blade, superseding any prior agreements or understandings.
  1. Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
  1. No Waiver: The failure by Blade to enforce any right or provision of these Terms does not constitute a waiver of such right or provision in that or any other instance.
  1. Assignment: You may not assign or transfer any rights or obligations under these Terms without Blade’s prior written consent. Blade may freely assign its rights and obligations under these Terms at its discretion.

A Note on ZeroH Regulations
ZeroH services may be subject to additional Islamic finance or regional regulatory requirements. Where necessary, separate terms or addenda may apply specifically to ZeroH’s services (e.g., local banking regulations, additional KYC/AML obligations). In the event of a conflict between any ZeroH-specific policy and these Terms, the ZeroH-specific policy shall control with respect to ZeroH transactions.
Final Acknowledgment
By accessing or using any Blade or ZeroH Services, you represent that you have read, understood, and agreed to these Terms of Use, including all additional guidelines or policies referenced herein.
If you do not agree with these Terms, you must immediately discontinue your use of the Services.
